Non-Disclosure Agreement (NDA)

This Non-Disclosure Agreement ("Agreement") is made and entered into immediately, by and between:

• DISCLOSING PARTY ("Roger Bourget AKA Regor/RegorSec"), and
• RECEIVING PARTY ("Receiving Party as define by input below").

1. Definition of Confidential Information

For purposes of this Agreement, "Confidential Information" means any non-public information disclosed by the Disclosing Party to the Receiving Party, including but not limited to trade secrets, business strategies, customer lists, technical data, financials, proprietary software, and other business-sensitive information, whether disclosed orally, in writing, or electronically.

2. Obligations of Receiving Party

• Maintain strict confidentiality of the Confidential Information.
• Use the Confidential Information solely for the benefit of the Disclosing Party.
• Not disclose Confidential Information to any third party without prior written consent.
• Take reasonable measures to protect Confidential Information from unauthorized disclosure.
• Return or destroy all Confidential Information upon request.

3. Term and Duration

This Agreement remains in effect forever unless otherwise terminated in writing by the Disclosing Party.

4. Breach and Remedies

• The Disclosing Party shall be entitled to injunctive relief without needing to prove damages.
• The Disclosing Party may seek monetary damages and other remedies permitted by law.
• The Receiving Party acknowledges that unauthorized disclosure may cause irreparable harm.
